1. Acceptance of Terms
By accessing or using Boardly (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Boardly ("we," "us," or "our").
2. Description of Service
Boardly is an AI-powered SaaS platform designed to help volunteer HOA (Homeowners Association) board members draft, manage, and send violation notices to community residents. The Service provides tools for photo upload, AI-generated notice drafting citing applicable CC&R rules, and email delivery of notices.
Boardly is a productivity and drafting tool. AI-generated notices are suggestions only and do not constitute legal advice. Board members remain solely responsible for reviewing notices for accuracy, legal compliance, and appropriateness before sending.
3. Account Registration & Responsibility
You must register for an account to use the Service. You agree to:
- Provide accurate, complete, and current information during registration.
- Maintain the security of your password and accept responsibility for all activities under your account.
- Notify us immediately at support@boardlyhq.com if you suspect unauthorized access to your account.
- Not share your account credentials with third parties.
You are responsible for all content submitted through your account and for ensuring your use of the Service complies with applicable laws.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to send false, harassing, defamatory, or discriminatory notices to residents.
- Upload content that violates any person's privacy rights, intellectual property rights, or applicable law.
- Attempt to reverse-engineer, decompile, or tamper with any part of the Service.
- Use the Service for any commercial purpose beyond managing your HOA community's violation notices.
- Violate any applicable local, state, national, or international law or regulation.
We reserve the right to suspend or terminate accounts that violate this section without refund.
5. Subscription Billing & Auto-Renewal
Boardly offers paid subscription plans (Starter at $299/mo, Pro at $599/mo, Premium at $999/mo) and a pay-as-you-go option ($5 per notice). By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.
Subscriptions automatically renew at the end of each billing period at the then-current rate. We will notify you of any price changes at least 30 days before they take effect. You are responsible for any applicable taxes.
Payments are processed by Stripe. Your payment information is handled by Stripe and is not stored on our servers.
6. Cancellation Policy
You may cancel your subscription at any time through your account settings or by contacting support@boardlyhq.com. Cancellation takes effect at the end of your current billing period. You retain access to the Service through the end of the period you have paid for.

7. Intellectual Property
The Service, including all software, design, text, graphics, and logos, is owned by Boardly and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
You retain ownership of any content you upload (violation photos, CC&R documents). By uploading content, you grant Boardly a limited license to process and store that content solely to provide the Service to you.
8. Disclaimers of Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) AI-generated notices will be legally sufficient or accurate; (c) results obtained from the Service will be reliable. Boardly is a drafting tool — always consult a qualified attorney for legal questions about HOA enforcement.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOARDLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO BOARDLY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10. Indemnification
You agree to defend, indemnify, and hold harmless Boardly and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any violation notices sent using the Service.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
